1. Agreement to Terms
Welcome to Scribano! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Agroware Inc. (doing business as Scribano) ("we," "us," or "our"), located at 55 Livingston Rd, Suite 601, Scarborough, ON M1E 1K9, Canada.
By accessing or using the Scribano mobile application, web application, or any related services (collectively, the "Service"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Service.
2. Description of Service
Scribano is an AI-powered meeting transcription and minutes service designed for independent consultants and professionals. Our Service includes:
- Audio Recording: Record meetings via mobile or web app
- AI Transcription: Automatic speech-to-text conversion with speaker diarization
- AI Summaries: Key points and action items extracted by AI (Starter plan and above)
- Organization: Manage recordings by client and project
- Export & Sharing: Download transcripts in multiple formats
- Cloud Storage: Secure storage of audio files and transcripts on Google Cloud Platform
3. Eligibility
You must meet the following requirements to use Scribano:
- Age: You must be at least 18 years old (or the age of majority in your jurisdiction).
- Capacity: You must have the legal capacity to enter into binding contracts.
- Compliance: You must not be prohibited from using the Service under applicable laws.
By using the Service, you represent and warrant that you meet these eligibility requirements.
4. Account Registration
4.1 Creating an Account
- You must register for an account using Google OAuth (we may support additional login methods in the future).
- You agree to provide accurate, current, and complete information.
- You are responsible for maintaining the confidentiality of your account credentials.
4.2 Account Responsibility
- You are solely responsible for all activities that occur under your account.
- Notify us immediately at hello@scribano.app if you suspect unauthorized access.
- We are not liable for any loss or damage arising from your failure to protect your account.
4.3 Account Termination
You may terminate your account at any time through the app settings. We may suspend or terminate your account if you violate these Terms (see Section 13).
5. Subscription Plans and Pricing
5.1 Available Plans
Scribano offers the following subscription plans:

5.2 Billing and Payments
- Billing Cycle: Subscriptions are billed monthly on the date you subscribe.
- Payment Method: Payments are processed securely through Stripe. We do not store your credit card information.
- Auto-Renewal: Your subscription automatically renews each month unless you cancel before the renewal date.
- Taxes: Prices do not include applicable taxes (e.g., GST/HST, VAT, sales tax), which will be added at checkout.
5.3 Minute Add-On Packages
If you exceed your plan's monthly minutes, you can purchase additional minutes:

Add-on minutes do not roll over beyond their 12-month expiration period.
5.4 Overage Handling
- Notifications: You will receive warnings at 80% and 100% of your plan's monthly minutes.
- Grace Minutes: We provide 5 bonus minutes per month for urgent needs.
- Recording Pause: If you exceed your limit (including grace minutes), new recordings will be blocked until you:
- Purchase an add-on package, or
- Upgrade to a higher plan, or
- Wait for your next billing cycle
5.5 Plan Changes
- Upgrades: Effective immediately. You will be charged the prorated difference for the current billing period.
- Downgrades: Effective at the end of the current billing period. No prorated refunds for downgrades.
6. Cancellation and Refunds
6.1 Cancellation
- You may cancel your subscription at any time through the app settings.
- Effective Date: Cancellation takes effect at the end of the current billing period. You retain access until then.
- No Partial Refunds: We do not provide refunds for partial months.
6.2 Refund Policy
We want you to feel confident subscribing to Scribano. Our refund policy combines a generous money-back guarantee with the statutory rights you have under your local consumer-protection laws.
EU Cooling-Off Period (14 Days)
If you are a consumer located in the European Union, the United Kingdom, or another jurisdiction with equivalent statutory protections, you have the right to withdraw from your subscription within 14 days of the initial purchase, without giving any reason. This right does not apply to subscription renewals or to digital content/services where you have expressly consented to immediate performance and acknowledged the loss of the right of withdrawal at checkout.
30-Day Money-Back Guarantee (All New Subscribers, Worldwide)
For new subscribers in any country, we offer a 30-day money-back guarantee on your first paid subscription period — no questions asked. If you are not satisfied for any reason within 30 days of your initial subscription, we will refund you in full.
How to Request a Refund
To request a refund, email support@scribano.app from the email address associated with your account, within the applicable refund window. Include your account email and the date of purchase. We aim to respond within 2 business days. Once approved, refunds are processed by Stripe and typically take 5-10 business days to appear on your statement, depending on your bank or card issuer.
Founders Pricing — Non-Refundable After 14 Days
If you purchase a Founders Pricing plan (a lifetime locked-in early-supporter rate), the standard 14-day EU cooling-off period applies, but the broader 30-day money-back guarantee does not. After 14 days, Founders Pricing purchases are non-refundable, because the lifetime locked-in price is granted on the basis of immediate, irrevocable enrolment. This exception is highlighted at checkout.
Other Refund Rules
- No Partial-Period Refunds: Once your refund window has closed, we do not refund partially-used months or unused minutes from add-on packages.
- Renewals: Subscription renewals (monthly or annual) are not eligible for the 30-day money-back guarantee — that benefit applies only to your first paid subscription period. You may still cancel renewals at any time to prevent the next charge (Section 6.1).
- Add-On Minute Packages: Add-on packages are non-refundable once the minutes are added to your account, except where required by law.
- Discretionary Refunds: We may, at our sole discretion, issue refunds outside the standard windows in cases of prolonged service outages, duplicate billing, or other billing errors.
- Statutory Rights Preserved: Nothing in this policy limits any non-waivable consumer-protection rights you may have under the laws of your country, province, or state.
7. Usage Limits and Restrictions
7.1 Technical Limits
To ensure fair use and service stability, the following limits apply:

7.2 Prohibited Uses
You agree NOT to use the Service for:
- Illegal Activities: Recording or transcribing content that violates local, state, national, or international laws.
- Unauthorized Recording: Recording individuals without their consent, where such consent is required by law (e.g., two-party consent states/provinces).
- Spam or Abuse: Uploading spam, viruses, malware, or any harmful content.
- Intellectual Property Violations: Infringing on copyrights, trademarks, or other proprietary rights.
- Automated Use: Using bots, scrapers, or automated tools to access the Service without prior written permission.
- Reselling: Reselling, redistributing, or sublicensing access to the Service without authorization.
- Harassment or Hate Speech: Uploading content that is defamatory, harassing, threatening, or discriminatory.
Violation of these prohibitions may result in immediate account suspension or termination without refund.
8. Intellectual Property
8.1 Your Content
- Ownership: You retain all ownership rights to your audio recordings, transcripts, and metadata.
- License to Us: By uploading content, you grant us a limited, non-exclusive, worldwide license to:
- Process your audio files (transcription, noise reduction, speaker diarization)
- Store your recordings and transcripts on our servers
- Display your content within your account
This license terminates when you delete your content or close your account.
8.2 AI-Generated Content
- Ownership of Transcripts and Summaries: You own all AI-generated transcripts and summaries created from your recordings.
- No AI Training: We do NOT use your content to train AI models (see Privacy Policy Section 5.2).
8.3 Our Intellectual Property
- The Scribano platform, including its code, design, logos, and trademarks, is owned by Agroware Inc.
- You may not copy, modify, distribute, or reverse-engineer any part of the Service without our prior written consent.
9. Data Privacy and Security
9.1 Privacy Policy
Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect, use, and protect your data.
9.2 Data Security
We implement industry-standard security measures, including:
- Encryption in transit (TLS 1.3) and at rest (AES-256)
- Regular security audits and monitoring
- Compliance with SOC 2 Type II standards (via Google Cloud Platform)
However, no system is completely secure. You acknowledge that you transmit data at your own risk.
9.3 Data Retention
- Active Accounts: We retain your data for as long as your account is active.
- After Deletion: Your data is permanently deleted within 30 days of account closure (see Privacy Policy Section 6).
10. Third-Party Services
Scribano integrates with third-party services to provide functionality:
- Google Cloud Platform: Hosting and storage
- Deepgram: Audio transcription
- OpenRouter (Gemini): AI summaries
- Stripe: Payment processing
- Sentry: Error tracking
Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the actions, content, or policies of these third parties.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
We do not guarantee that:
- The Service will be uninterrupted, secure, or error-free
- Transcriptions will be 100% accurate (AI transcription has inherent limitations)
- Your data will never be lost (though we implement robust backup systems)
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
12.1 Cap on Damages
Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid to Scribano in the 12 months preceding the claim (or $100 USD if you have not paid anything).
12.2 Excluded Damages
WE ARE NOT LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Damages resulting from third-party services (Deepgram, OpenRouter, Stripe, etc.)
- Damages caused by your violation of these Terms or applicable laws
12.3 Exceptions
Some jurisdictions do not allow the exclusion or limitation of certain liabilities. In such cases, our liability is limited to the fullest extent permitted by law.
13. Termination
13.1 Termination by You
You may terminate your account at any time through the app settings. Upon termination:
- Your subscription will not renew
- You will retain access until the end of the current billing period
- Your data will be deleted after 30 days (see Privacy Policy)
13.2 Termination by Us
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms or our Privacy Policy
- You engage in prohibited uses (Section 7.2)
- You fail to pay subscription fees
- We detect fraudulent or abusive activity
- We are required to do so by law
13.3 Effect of Termination
Upon termination:
- You lose access to the Service and all data stored in your account
- Outstanding fees remain due and payable
- Provisions of these Terms that should survive (e.g., intellectual property, limitation of liability) will continue to apply
14. Indemnification
You agree to indemnify, defend, and hold harmless Agroware Inc., its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights (e.g., intellectual property, privacy)
- Content you upload to the Service
15. Dispute Resolution
15.1 Governing Law
These Terms are governed by the laws of the Province of Ontario, Canada, without regard to conflict of law principles.
15.2 Arbitration (Optional)
For disputes involving claims of $10,000 USD or less, you may opt for binding arbitration instead of litigation:
- Arbitration Location: Toronto, Ontario, Canada
- Arbitration Rules: Canadian Arbitration Association (CAA) rules
- Arbitrator's Decision: Final and binding
You retain the right to pursue claims in small claims court if eligible.
15.3 Litigation
For disputes exceeding $10,000 USD, you agree to submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, Canada.
15.4 Class Action Waiver
YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION against Scribano. Disputes must be resolved on an individual basis.
This waiver does not apply in jurisdictions where class action waivers are prohibited by law.
16. Changes to These Terms
We may update these Terms from time to time. When we do:
- Notification: We will notify you via email and/or an in-app notification at least 30 days before changes take effect.
- Acceptance: Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.
- Right to Terminate: If you do not agree with the changes, you may terminate your account before the effective date without penalty.
You can review the current Terms at any time in the app under Settings → Terms of Service or at scribano.app/terms.
17. Miscellaneous
17.1 Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Scribano regarding the Service, superseding any prior agreements.
17.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
17.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
17.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations to any third party.
17.5 Force Majeure
We are not liable for delays or failures caused by events beyond our reasonable control (e.g., natural disasters, pandemics, cyberattacks, government actions).
17.6 Language
These Terms are provided in English. If we provide a translation, the English version will prevail in case of discrepancies.
